March Newsletter

Dear members, the committee has decided to delay the publication of the march newsletter, for a week or so. This is due to the fact that the A.G.M venue, cannot at this time inform us, if the venue will be able to provide for our requirements.
As we have to inform the non digital membership via the newsletter, we will hold off going to print until march 4th at the earliest, so we can advise either way in print for all to see.

Thinking ahead, if the Agm is May 29th, then we will also req time to post news from that in the newsletter, so with the best will from all involved, it'll be mid June at best.

The Rufus Centre, cannot yet give firm answer to availability, due to awaiting government advice. Our committee meeting has been postponed till March 9th, which will now mean extra delay to the newsletter going to print. It's still probable you will get yours before March is out, but wanted to keep every one posted. Especially after the Christmas Covid post delays we had last time.
I hate to be late, but this is unavoidable in these circumstances, I do like to be punctual, so much so I have the content of the summer and autumn editions in place ready!

I think many members would rather the AGM was postponed until after 21st June - then we would be much more certain that it could take place safely, though still not guaranteed of course.

yes of course. as we have the sept 18th party, anything after the end of may , could seem too close. there's an option to have the actual a.g.m buisness via zoom. it's also probable any sats after june will be booked up. all this will be discussed with commitee on tuesday to get best desicion for society. regards, ash

p.s the laws around having the a.g.m are also in play, that it has to take place within a certain time after the previous and i think we were at the limit at end of may. ash

Do the Articles of Association specify the AGM is to be held within 6 months of year end?

Would need to check the Companies Act but it may be that the statutory requirement applies only to Public (listed) companies (not private, like G3S).

Alternative would be to send out proxy forms with Newsletter, so members can vote by appointing a committee member to represent them and vote (either as they specify in respect of specific resolutions or give discretion).

I can confirm what I said earlier to be the case
John.

There is now no statutory requirement for a private company to hold any general meetings, not even an Annual General Meeting. This change was introduced when Part 13 (sec281 - sec361) of the Companies Act 2006 came into effect on 1st. October 2007. Before that, all companies were required to hold an Annual general Meeting, though since the 1989 Act came into effect it has been possible for private companies to opt out if holding AGMs, by passing a (now defunct) elective resolution.

Some companies' articles will require them to hold an AGM and any such provision will continue to be binding on the company until the articles are amended.

I personally hate Zoom conference ware. It is optimised to run in a W10 environment and nothing else... The delay on it tenders any attempt at lip reading impossible. People may as well be wearing welding masks.

I appreciate Ralph's problem but as an example theGWS held its last AGM over zoom and as far as I can judge worked well. Bear in mind that people can phone in so it is not limited to computerists.

Obviously you cannot have a physical show attached but Ashley's idea in another place of photos of the stock people are building and why (in 26 words - my addition) could add some backdrop.

Zoom can work well and I can see the point last year in the middle of the pandemic.  But this year the meeting would only need to be moved one month in order to hold it real time with everyone safe and legal.

The Articles of the Gauge 3 Society specify that we must hold an AGM within 15 months of the last one.  So, 29th May is the last Saturday when we can hold an AGM and comply with the Articles.

news hot off the press is things are looking promising for the rufus centre with some minor restrictions. we/i'll be reporting back after tuesdays commitee meeting - fingers crossed guys.
